1. Description of Sweepstakes Offer. The 2009 $3,500 Extravaganza Sweepstakes ("Sweepstakes") is sponsored by WhatSheHasToSay.com ("Sponsor"), 4509 South 143rd Street, Suite 9, Omaha, NE 68137. Sponsor will award one (1) prize to one (1) winner, selected in a random drawing of all eligible entries received during the Promotional Period. Multiple creative representations of the prize will be promoted through multiple web sites.One of such web sites is www.WhatSheHasToSay.com. Only one (1) prize will be awarded across all participating web sites and all creative representations. The prize for which an entrant is eligible depends on the creative representation through which the entrant entered the Sweepstakes. Entries may be submitted through the WhatSheHasToSay.com site or one of its promotions, through a participating Affiliate site or via U.S. mail as described below.

2. Promotion Period. The Sweepstakes promotion begins October 1, 2009, at 12:00:00 pm Central Time ("CST") and ends December 31, 2009, at 11:59:59 am CST (the "Promotion Period"). All entries must be received during the Promotion Period. One (1) winner will be drawn on or about the 10th day of the following month.

3. How to Enter. To enter online, complete the online entry form provided through the WhatSheHasToSay.com site and/or one of its promotions, surveys, or Affiliate sites. By completing the online entry form, you are agreeing to be notified by e-mail if you are the winner of the Sweepstakes. 4. Eligibility. NO PURCHASE IS NECESSARY TO WIN. 5. Description of Prize. One (1) Prize will be awarded to a qualified winner. Maximum cash value for all creative representations shall be $3,500 USD.

6. Drawing and Awarding of Sweepstakes Prize. A random drawing will be made of all eligible and correctly completed entries received during the Promotion Period. Winner will be notified by e-mail or by certified mail, return receipt requested, within ten (10) days of the drawing. Except where prohibited, potential winner must execute and return to Sponsor, within ten (ten) days of being notified, an affidavit of Eligibility, Liability and Publicity Release (or Declaration of compliance, if Canadian resident) in order to claim his/her prize. 3. Eligibility. The Sweepstakes is open to legal residents of the fifty (50) United States (and the District of Columbia) and Canada (excluding Quebec) who are at least eighteen (18) years of age or older. Employees, officers and directors of Sponsor and Promoters, their respective parents, subsidiaries, and agents, as well as the immediate family (defined as spouse, parents, children, siblings and grandparents) and household members of each such employee, officer and director are not eligible. By participating, entrant agrees to abide by these Official Rules and the decisions of Sponsor, which are final and binding in all respects.

Each entrant may receive up to ten (10) entries per day during the Promotion Period. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. 5. Selection of Potential Winner. Sponsor will randomly select one (1) Promoter's Creative Presentation from among all Creative Presentations and Sponsor will then select one (1) potential Grand Prize Winner from among all eligible entries received through the selected Creative Presentation, on or about February 1, 2010. Entrant selected must comply with all terms and conditions of these Official Rules. Winning is contingent upon fulfilling all requirements. The potential winner will be notified by email and/or mail within ten (10) days of the drawing. Except where prohibited, potential winner must execute and return to Sponsor, within ten (10) days of being notified, an Affidavit of Eligibility, Liability and Publicity Release (or Declaration of Compliance, if Canadian resident) in order to claim his/her prize. If a winner has not reached the age of majority in his/her place of residence, the prize will be awarded in the name of his/her parent or legal guardian. Prize is non-transferable, and no substitution will be made except as provided herein at the Sponsor's and Promoter's sole discretion. Winner is solely responsible for any and all applicable fees and taxes associated with prize receipt and use. 7. Publicity. Except where prohibited, participation in the Sweepstakes constitutes winner's consent to Sponsor's and Promoter's use of winner's name, likeness, voice, opinions, hometown, state (and/or province) and country for promotional purposes in any media without further payment or consideration.

8. General Conditions. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Sweepstakes should virus, bugs, unauthorized human intervention, technical failures or any other factor beyond Sponsor's reasonable control corrupt the administration, security, fairness, integrity or proper operation of the Sweepstakes. In such event, Sponsor reserves the right to award the prize at random from among the eligible entries received up to the time of impairment. 10. Limitations of Liability. All decisions are final. Entrants agree that any and all claims, disputes and causes of action arising out of or related to the Sweepstakes shall be resolved, without resort to any form of class action, exclusively by the appropriate courts in Douglas County, Nebraska in accordance with the laws of the State of Nebraska, without giving effect to conflict of law rules which would cause the application of the laws of any other jurisdiction.
